The Senior Analyst will be a member of the Carrier Controllers Department within the Finance organization supporting M&A accounting activities. This is a specialized role and the team member will interact with colleagues across multiple functions such as SEC reporting, Consolidations team, Segment Controllers, Business Unit finance teams, and Carrier’s Business Development group. This individual will be expected to be an active contributor to continuous improvement initiatives and Carrier’s culture.
Carrier's business strategy has relationships with joint venture partners and holds investments in numerous joint ventures around the world. In addition, Carrier continually seeks new business through mergers and acquisitions. Carrier also modifies its business portfolio by divesting non-core businesses. As such, the Carrier Finance department has a dedicated team of Finance associates to support this model with the following M&A Accounting responsibilities:
Mergers, Acquisitions, and Divestitures Accounting:
- Support the process of accounting and reporting Carrier acquisitions and divestitures.
- Prepare accounting work, including related reconciliations and one-timers.
- Collaborate with business development and tax to evaluate divestiture gain and loss scenarios.
- Prepare and coordinate execution of work plans for Carrier businesses to follow when a divestiture or joint venture reorganization takes place.
- Prepare disclosures for quarterly and annual SEC filings.
- Assist in integration and carve-out plans for acquisitions and divestitures.
- Review and summarization of acquisition materials (SPA, valuation reports, etc.), including accounting research.
- Prepare DCF models for valuation of customer relationship intangibles
- Working with external auditors and consultants.
Goodwill and Indefinite-Lived Intangibles Impairment Testing:
- Lead the annual Carrier goodwill and intangibles impairment testing, including updating associated DCF models, and net book value allocations and preparing accounting memos.
- Assist with the report out of testing results to senior management (compilation of presentations).
- Assist PwC auditors with the annual testing audit.
Minority JV Reporting:
- Reconcile Investments, Equity Pick-Up, and Dividends.
- Evaluate investments for impairment.
- Prepare disclosures for quarterly and annual SEC filings.
Other activities:
- Perform SOX GAP assessment and control testing.
- Lead the completion of ad-hoc requests and special projects as required.
- Build relationships across multiple teams within Carrier to foster a collaborative and productive working relationship.
- Experience / Qualifications:
- Bachelor’s degree in accounting or finance is required.
- Three to five years of GAAP experience is a plus.
- Financial Planning & Analysis is helpful as well.
- CPA is highly preferred.
- Hyperion Financial Management (HFM) experience preferred.
- The candidate also must be a self-motivated individual who works as a team player, focuses on results, and forms good working relationships within the organization.
