Reporting directly to the Company’s Senior Director, Corporate Counsel, the Associate Director, Corporate Counsel serves as a legal counsel with respect to securities, corporate finance (including treasury support), and other general corporate matters. The role also provides legal and corporate secretarial support with regard to the management of the Company’s Board of Directors and Committees.

Key Responsibilities:

Securities Responsibilities:

  • Provide legal support and advice on public disclosure and similar matters
  • Review investor communications, including quarterly earnings materials
  • Support the drafting and review of all ’34 Act filings, including registration statements, periodic and current reports
  • Support the drafting and filing process for the annual Proxy Statement
  • Coordinate a broad range of executive compensation and equity administration matters, including Section 16 filings and insider trading policies
  • Identify, analyze, and report on legal and market practice developments impacting disclosure, governance, and executive compensation matters

Corporate Finance & Other Transactional Responsibilities:

  • Support all corporate finance activity, including public and private securities offerings (both debt and equity), liability management transactions, and bank financings
  • Support senior management in the interpretation of financing documents
  • With others in the legal department, provide legal support for mergers, acquisitions, and related financings

Corporate Governance Matters and other Corporate Matters:

  • Assist with the preparation, review, and distribution of Board / Committee agendas and meeting materials
  • Support the review and drafting of company policies and processes
  • Review press releases and other external communications

Required Qualifications:

  • Bachelor's Degree
  • Juris Doctorate from an accredited US law school
  • Current admission to at least one U.S. state bar
  • 2+ years of general corporate experience with large public companies

Preferred Qualifications:

  • Strong drafting and communication skills
  • Experience with securities, public company governance, capital markets, and corporate finance
